Investment Dealer Exemption

On January 14, the BCSC and four other provincial securities regulators implemented a new investment dealer prospectus exemption. This new exemption is designed to help listed companies raise money and allow retail investors to participate in private placements, while maintaining appropriate investor protection.

In BC, the exemption is found in BC Instrument 45-536 – Exemption from prospectus requirement for certain distributions through an investment dealer.

To help industry participants learn about the new exemption, BCSC staff organized and held two information sessions on February 23, 2016 in Vancouver. During each 60-minute presentation and Q&A session, BCSC staff detailed the exemption and its key conditions and explained how issuers can meet the requirements of the new exemption in practice.
